TJOFLAT, Circuit Judge:

This is an insider trading case, brought by the Securities and Exchange Commission (“SEC”) under section 10(b) of the Securities Exchange Act of 1934 (“Exchange Act”), 15 U.S.C. § 78j(b),' and (SEC) Rule 10b-5, 17 C.F.R. § 240.10b-5, against Donna Yun and Jerry Burch. Answering special verdicts, a jury found that the defendants had “violated Section 10(b)” under the “misappropriation theory” of liability.
