This is an appeal from the grant of a motion for summary judgment and the denial of a motion to amend a counterclaim by *620the United States District Court for the Northern District of Georgia in favor of the appellee, Farrington Texal, Division of Norton Company (Norton), and against the appellant, Ploof Truck Lines, Inc. (Ploof).
