On May 5, 2008, the plaintiffs, purchasers of common stock from InPhonic, Inc. (“InPhonic”), filed them First Amended Class Action Complaint (“Am. Compl.”) alleging that between May 8, 2006, and October 11, 2007 (the “Class Period”), Am. Compl. ¶ 1, the defendants, David A. Steinberg (“Steinberg”), InPhonic’s Chief Executive Officer (“CEO”) and Chairman of the Board of Directors, and Lawrence S.
