This action is brought by the plaintiffs, on their own behalf and as representatives of a class of persons similarly situated, based upon an alleged violation of Sections 10(b) and 20 of the Securities Exchange Act of 1934, as amended, and the Rules and Regulations of the Securities and Exchange Commission promulgated thereunder, particularly Rule 10(b)-5.
