AMENDED MEMORANDUM OPINION
LEE, District Judge.
THIS MATTER is before the Court on Defendants’, Craig A. Russey, et al., motion for summary judgment on all of Plaintiffs’, Konrad Eric Poth, et al., claims. This case concerns a merger agreement entered into by the parties whereby Defendants acquired 100 percent of Plaintiffs’ company and Plaintiffs’ post-merger expectations.
