Cullen, J.:
The ground on which it is sought to set aside the elections for directors of the Rapid Transit Ferry Company held in the years 1895 and 1896, respectively, is that a majority of the stock was not present in person or by proxy at either election as required by the by-laws of the company. The learned judge at Special Term held *532the objections to the validity of the elections good. He granted the application as to the election of 1896, but denied that as to the election of 1895, on account of the laches of the petitioner.
