OPINION AND ORDER

BESOSA, District Judge.

Before the Court is the Report and Recommendation (R & R) (Docket No. 203), regarding defendant’s motion to dismiss the case under Federal Rule of Civil Procedure 12(b)(6) (Docket No. 64), which plaintiffs did not timely oppose. Having considered the magistrate judge’s recommendations, defendants’ objections and opposition to plaintiffs objections (Docket Nos. 229 & 239), and plaintiffs’ objections (Docket Nos. 230 & 240), the Court ADOPTS IN PART AND REJECTS IN PART the Report and Recommendation, (Docket No. 203).
