ORDER
EISELE, Chief Judge.
Plaintiffs allege that defendants engaged in a scheme to sell stock in a financially troubled savings and loan. First Federal, the corporate defendant, is the savings and loan. The Individual Defendants are various officers and directors of First Federal. Defendants have moved to dismiss two of the Complaints in these consolidated actions, namely the Hagerty (LR-C-87-792) and Gitlin (LR-C-87-793) cases. They make a variety of arguments which, taken together, challenge all of the Counts in the two Complaints.
