MEMORANDUM OPINION
PETER J. WALSH, Bankruptcy Judge.
This opinion is with respect to Shorenstein Company LLC’s (“Shorenstein”) motion (“the Motion”) (Doc. #5) to dismiss with prejudice the Chapter 7 Trustee’s complaint (“the Complaint”) (Doc. # 1). The Motion is filed by Shorenstein pursuant to Federal Rule of Civil Procedure 12(b)(6), made applicable to adversary proceedings by Rule 7012(b) of the Federal Rules of Bankruptcy Procedure. The Complaint seeks to avoid and recover transfers pursuant to 11 U.S.C. §§ 547, 548, 549, and 550, and to disallow Shorenstein’s claims pursuant to 11 U.S.C. §…
