¶ 1. HMO-Wisconsin (HMO-W) seeks review of that part of a published court of appeals decision that reversed a circuit court judgment and order applying a minority discount in this dissenters' rights action. HMO-W contends that the court of appeals erred when it precluded the application of minority discounts in determining the fair value of dissenters' shares. We agree with the court of appeals and conclude that minority discounts may not be applied to determine the fair value of dissenters' shares in an appraisal proceeding.
