McWILLIAMS, Circuit Judge.

The principal issue in this appeal is whether the district court erred in granting equitable relief to a lessee who failed to timely exercise its right to renew a five-year lease of commercial property for an additional five years. Our jurisdiction is based on 28 U.S.C. § 1291. The district court’s jurisdiction was based on diversity of citizenship. 28 U.S.C. § 1332. Venue was based on 28 U.S.C. § 1391(a). Some background facts are necessary to an understanding of the matter.
