Appeal from a judgment of the superior court for King county, Prigmore, J., entered July 1, 1911, upon findings in favor of the defendant, after a trial on the merits before the court without a jury, in an action on contract.

In this action the plaintiff sought to recover the money paid for twenty-five shares of the increased capital stock of the defendant corporation', of a par value of $100 per share. The facts necessary to a proper determination of the action, as we view them, are few, admitted, and uninvolved. In April, 1909, the defendant sold1 and delivered to the plaintiff twenty-five shares of its increased capital stock for $2,500 cash, upon the- following considerations, as found by the court without exception on either side:
