ORDER

RENNER, District Judge.

Before the Court are the summary judgment motions of defendants Gerard M. Bio- horn and Oliver A. Kimberly. 1 Following a hearing held on January 13, 1988, the Court requested additional briefing and took the matter under advisement. Based on the opinion which follows, summary judgment will be granted as to both defendants.

FACTS

This is an action by four retired employees of Pako Corporation (“Pako”) to collect benefits due them under two unfunded “Top Hat” retirement plans adopted and approved by Pako’s board of directors in 1977 and 1981.
