Appellants A.B. Medical, Inc., Ray Aubrey and Creighton Beddow (hereinafter collectively AB) appeal from a final order entered in the United States District Court 1 for the District of Minnesota granting summary judgment in favor of appel-lee, Orthomet, Inc. The district court held that the statute of frauds bars AB from asserting a cause of action for breach of contract and that neither Minnesota nor Florida law recognizes an independent cause of action for breach of an implied covenant of good faith and fair dealing.
