These consolidated actions are brought pursuant to §§ 13(d) and 14(a) of the Securities Exchange Act of 1934, 15 U.S.C. § 78aa et seq., as well as under Delaware state law. Plaintiffs Minstar, Inc. (“Mins tar”), Irwin L. Jacobs, Dennis M. Mathisen, Daniel T. Lindsay, Gerald A. Schwalbach (collectively “the Jacobs Group”), and TR Holdings, Inc. (“TR Holdings”) filed this action against Tidewater, Inc. (“Tidewater”), the eight Tidewater directors, Hellenic, Inc. (“Hellenic”), and Otto Candies, Inc. (“Otto Candies”) on September 3,1985.
