ORDER DENYING DEFENDANTS’ MOTION TO DISMISS

NESBITT, District Judge.

This cause comes before the Court upon Defendants’ Motion to Dismiss Second Amended Complaint for Failure to State a Claim Upon Which Relief Can be Granted, filed March 28, 1995 (D.E. # 78), and Plaintiffs’ Motion to Dismiss Count I of First Amended Counterclaims for Damages, In junction and Declaratory Relief for Failure to State a Claim Upon Which Relief Can be Granted, filed May 27, 1994 (D.E. #26).
