ORDER DENYING DEFENDANTS’ MOTION TO DISMISS

I. INTRODUCTION

This matter comes before the Court on the Motion to Dismiss (“Motion”) by the defendants John E. McNulty (“McNulty”), Tim Steinkopf (“Steinkopf’) and Secure Computing Corporation (“Secure”), (collectively “Defendants”). See Docket No. 23. The plaintiff Rosenbaum Capital, LLC (“Plaintiff’), filed an Opposition, Defen dants submitted a Reply, and Plaintiff, with leave from the Court, filed a Surre-ply. See Docket Nos. 28, 31, 37. For the following reasons, the Court DENIES Defendants’ Motion.
