This appeal presents two questions: (1) Whether the Natural Gas Act (“NGA”), codified at 15 U.S.C. §§ 717-717w, preempts the Michigan public utilities securities regulation law, 1909 Mich.Pub.Acts No. 144 (“Act 144”), codified at Mich. Comp.
