Jodek Charitable Trust, R.A. (“Jodek”) brings this diversity action against VertiealNet Inc. (“VertiealNet”), American Stock Transfer and Trust Company (“ASTT”), James McKenzie, Esq. (“McKenzie”), Mark L. Walsh (“Walsh”), and Douglas A. Alexander (“Alexander”) (collectively “Defendants”). The origin of this dispute is a March 2000 merger between two companies, Defendant Vertical-Net and nonparty Tradeum, Inc. (“Trade-um”). Plaintiff Jodek is the assignee and successor in interest to the original shareholders of Tradeum.…
