ALDRICH, District Judge.

This motion for summary judgment raises the substance or shadow of a Pandora’s boxful of questions of partnership law. In December, 1955 there was executed, and a certificate duly filed with the Secretary of the Commonwealth pursuant to Mass.G.L. Ch. 109, § 2(1) (&), a purported agreement of limited partnership, hereinafter known as the Agreement.
