The central issue in this case is whether an agreement between a distributor and a manufacturer that requires the manufacturer *549to discontinue selling products to a few of the distributor’s competitors, is an unlawful vertical restraint of trade and/or a tortious interference with prospective and continuing economic relations? This case uniquely applies the fundamental principles of vertical price restraints enunciated by the United States Supreme Court, New Jersey courts and federal courts.
The essential facts are not in dispute.
