MARTIN, Chief Judge.

Plaintiff-appellee, R. Bradford Lee (“Lee”) brought this action against defendants-appellants, John C. Scarborough (“Scarborough”) and E.B. Comp., Inc. alleging defendants’ breach of a stock option and restriction agreement. Briefly summarized, the record discloses the following facts relevant to the issues raised on appeal: Both Lee and Scarborough worked in the insurance industry.
