MEMORANDUM AND ORDER

NEAHER, District Judge.

Plaintiff initiated this action charging defendants with violations of Section 10(b) of the Securities Exchange Act of 1934, 15 *298U.S.C. § 78j(b), common law fraud, breach of contract, and ultra vires corporate acts. He premises jurisdiction under 28 U.S.C. § 1332(a) and seeks compensatory damages of $79,300 and a like amount in exemplary damages. He also seeks an order declaring four contracts void and unenforceable.
