The complaint herein alleges that in August, 1921, the plaintiff was in the employ of the Continental Guaranty Corporation. The defendant was the president of the corporation. He represented to the plaintiff that he was authorized as president to act as agent and representative of the corporation, and on behalf of the corporation he entered into a contract with the plaintiff for the organization and promotion of a similar corporation to engage in the same line of business, either as a subsidiary of, or in co-operation with, the said Continental Guaranty Corporation, and agreed that in…
