ARTERTON, District Judge.

William C. Lyons, Jr. (“Lyons”) and the BILCO Company (“BILCO”) have filed cross motions for summary judgment as to the ERISA claims in Counts Two and Four in the Amended Complaint. 1 Both parties agree that there are no material facts in dispute, and claim that they are entitled to judgment as a matter of law.
