I. BACKGROUND
This litigation consists of four actions pending in two districts — three in the Southern District of New York and one in the Western District of Texas. The actions are all brought under, inter alia, the federal securities laws. The major defendants in these actions are Commonwealth Oil Refining Company (CORCO), TESORO Petroleum Corporation (TESORO) and certain present and former officers and directors of CORCO and/or TESORO.
