Both of these cases involve alleged violations of sections 12(2) and 17(a) of the “Securities Act of 1933,” 15 U.S.C. § 77i(2) and § 77q(a); sections 10(b) and 20(a) of the “Securities Exchange Act of 1934”, 15 U.S.C. § 78j(b) and § 78t(a); and Rule 10b-5, 17 C.F.R. 240.-10b-5, adopted by the Securities and Exchange Commission under authority of sections 10(b) and 23(a) of the Exchange Act, 15 U.S.C. § 78j(b) and § 78w(a).
