OAKES, Circuit Judge:

In this diversity action Nike, Inc., appeals from a judgment entered in the United States District Court for the Southern District of New York, Robert J. Ward, Judge, following a jury trial in which Nike was found liable to S & K Sales Co. (“S & K”) for either participating in or knowingly accepting the benefits of a breach of fiduciary duty owed to S & K by a former employee, Norman Johnson. The jury awarded S & K $1,050,000 in compensatory damages and $5,000 in punitive damages. Judge Ward subsequently denied Nike’s motion for judgment notwithstanding the verdict, and…
