MEMORANDUM AND ORDER
YOUNG, District Judge.
I. INTRODUCTION
In what has been described as the largest retail security breach ever, criminals hacked into the computer systems of TJX Companies, Inc. (“TJX”) and compromised the security of at least 45,700,000 customer credit and debit accounts. See Joseph Pereira, Breaking the Code: How Credit-Card Data Went Out Wireless Door, Wall St. J., May 4, 2007, at Al. Financial institutions have brought suit seeking to recover their costs arising out of the resulting fraudulent transactions and the need to replace the compromised cards.
