On September 1, 1970, plaintiff-appellee Raymond H. Clark, as seller (on behalf of certain principal shareholders), and defendant-appellant Kruse, Kruse & Mik- losko, Inc. (K.K. & M., Inc.), as purchaser, entered into a written contractual agreement regarding the sale and transfer of 500 of the then outstanding 680 shares of capital stock in a corporate entity known as Eaton Creek Trout Club, Inc.
