I. BACKGROUND
Plaintiff McCloud Construction, Inc. (“McCloud”) brings this breach of contract action against defendant Home Depot USA, Inc. (“Home Depot”), alleging that defendant failed to pay the full amount due plaintiff under a contract for constructing a Home Depot store in Wauwatosa, Wisconsin. McCloud filed suit in Milwaukee County Circuit Court, and Home Depot removed the case to federal court pursuant to 28 U.S.C. § 1441(a) based on diversity of citizenship.
