MEMORANDUM OPINION AND ORDER
HOLDERMAN, District Judge:
Herman Kornatz, a former employee of plaintiff Barrett Industrial Trucks, Inc. (“Barrett”) is a key fact witness in this insurance dispute. After this suit was filed, however, Barrett1 hired Mr. Kornatz as a consultant for this litigation. At issue is whether the substance of conversations between Mr. Kornatz and Barrett’s attorneys are protected by the attorney-client privilege or work-product doctrine.
