MEMORANDUM OPINION
RICHARD J. LEON, District Judge.
This matter is before the court on two motions. The defendants have filed a motion under Federal Rules of Civil Procedure 12(b)(1) and 12(b)(6) to dismiss the complaint, or in the alternative for summary judgment, arguing that this Court lacks subject matter jurisdiction and that the complaint fails to state a claim upon which relief may be granted.
