Universal Premium Acceptance Corporation (“Universal”) sues Oxford Bank & Trust (“Oxford Bank”) for negligent and fraudulent misrepresentation and breach of warranty. This matter comes before the Court on Defendant Oxford Bank & Trust’s [Second] Motion To Dismiss Plaintiffs Amended Complaint (Doc. #35) filed March 21, 2003. Specifically, Oxford Bank seeks dismissal on account of lack of personal jurisdiction, improper venue, failure to state a claim upon which relief can be granted, and failure to plead fraud with particularity.
