Plaintiffs allege that, in 1907, they, with R. C. Eibbey, purchased certain tracts of timber in Marion county to be manufactured into lumber, and paid $25,000 on the purchase price thereof, and, being unable to pay the balance, $375,000, they applied to Ruggles, who agreed conditionally to advance that sum, and also $150,000, as working capital for the business, and that a corporation should be organized to take over the property and carry on the business in which they should have $25,000 worth of stock for the money they had paid;…
