delivered the opinion of the court:

On October 2, 1944, the plaintiffs, Julia B. Dean et al., as minority stockholders of Warren-Teed Seed Company, filed their complaint in the superior court of Cook county against John L. Kellogg, a majority stockholder of such company, and against Kellogg Company, a corporation, for an accounting of the assets of the Warren-Teed Seed Company.
