In 1888, and for some years prior thereto, the Southern

Pacific Company dominated the Houston & Texas Central Railway Company, electing directors and officers through one of its subsidiaries, which owned a majority of the Houston Company stock. In 1888, pursuant to a reorganization agreement, mortgages upon the Houston Company properties were foreclosed and these were acquired by the Houston & Texas Central Railroad Company; the old company’s outstanding bonds were exchanged for bonds of the new; all the new company’s stock was delivered…
