DECISION ON CONFIRMATION OF SECOND AMENDED PLAN

After less than one year from the filing of their administratively consolidated Chapter 11 cases in this court on April 12, 1987, the debtor, Texaco Inc. and its two wholly owned financial subsidiaries, Texaco Capi tal Inc. and Texaco Capital, N.V., scheduled hearings commencing March 22, 1988 for the confirmation of their Second Amended Joint Plan of Reorganization (the “Plan”). The Plan was proposed by the debtors and Pennzoil Company (“Pennzoil”). Pennzoil is the largest unsecured creditor of Texaco Inc.…
