The bank brought this action on a promissory note given by C. B. Hoffman to the Merchants’ Refrigerating Company for shares of its capital stock. Hoffman admitted the execution of the note and alleged a total failure of consideration. On the trial he introduced evidence tending to show that the stock for which the note was given was valueless and that he was in- . duced to purchase the same by the false and fraudulent representations of J.
