OPINION AND ORDER

WALKER, District Judge.

I. Introduction

Plaintiff Jean-Louis David (“David”) sues defendants the Glemby Company (“Glemby”) and Hair Programming, Inc. (“HPI”) for equitable relief and monetary damages for breach of a contract executed by David and HPI. HPI is a 98% owned subsidiary of parent Glemby. The action arises from defendants’ undisputed failure to establish a number of hairdressing salons in the United States under plaintiff’s name.
