The plaintiff is an insurance company, organized in 1884, with a capital stock of $100,000, divided into 1,000 shares of $100 each. Its business is conducted by a board of directors, a, finance committee, .an executive committee and certain other officers, including a sécretary and general manager. It appears that the secretary and general manager, at least down to December, 1899, was at all times intrusted with the active management and control *644of the company’s affairs, and the president and the remaining officers appear to have given very little, if any, attention thereto.
