The complaint alleges that the defendant Peerless Tire Company was organized under the laws of South Dakota; that the office and principal place of business of the corporation are located in Minneapolis, Minnesota ; that plaintiffs are the holders of preferred stock in the corporation; that defendant Hicks is the secretary; Meek, the president; Fay, the treasurer, and Scott, the vice president, of the corporation, and the other defendants are past officers and business managers of the corporation; that said defendants organized the corporation for the purpose of defrauding plaintiffs and…
