MEMORANDUM-DECISION AND ORDER

I. INTRODUCTION
Currently before the Court is Defendant’s motion to dismiss Plaintiffs’ amended complaint. See Dkt. No. 27. .
II. BACKGROUND
On August 2, 2013, the Court heard, oral argument in support of, and in opposition to, Defendant’s motion to dismiss Plaintiffs’ complaint and Plaintiffs’ cross-motion *345for leave to amend their complaint.
