Defendant-appellant/cross-appellee Citizens Savings & Loan Association (“Citizens”) appeals from a jury verdict in favor of plaintiff-appellee/cross-appellant Troy Seale in this Ohio diversity action alleging fraud and breach of contract. Seale cross-appeals from the directed verdict in favor of the directors of Citizens and the District Court’s refusal to instruct the jury on the awarding of attorneys’ fees and punitive damages under Ohio law.
