Abrams-Rubaloff & Associates, Inc. (the corporation) and Noel K. Rubaloff (Rubaloff) appeal a decree of the trial court confirming the majority appraisal valuation of Harry Abrams’ shares of the corporation’s stock, directing Rubaloff and the corporation to file a written election specifying which one of them is to be the purchasing party, and ordering the wind up and dissolution of the corporation unless payment for Abrams’ shares is timely made.
