MEMORANDUM OPINION

ELLIS, District Judge.

Plaintiffs are a minor child and her mother who filed a state court action alleging: (i) medical malpractice against two primary-care physicians; (ii) vicarious liability and negligence against the Health Maintenance Organization (HMO) and the physicians’ professional corporation; and (in) fraud against all defendants.
