On October 31, 1986, Industry Holdings, Inc. (“Industry Holdings”) and International Minerals & Chemical Corporation entered into a Stock Purchase Agreement (the “Agreement”), pursuant to which Industry Holdings purchased two entities: IMC Industry Group, Inc., and IMC Group (Quartz) Inc.
