MEMORANDUM

DENNEY, District Judge.

The W. A. Krueger Company is a Wisconsin corporation engaged in the business of printing magazines, books and commercial products. A publicly-held company, Krueger has over 3,600,000 shares of common stock outstanding, all of which are traded in the over-the-counter market.
