MEMORANDUM OPINION AND ORDER
ASPEN, District Judge:
Plaintiff Gateway Industries, Inc. (“Gateway”) has filed this action under section 13(d) of the Securities Exchange Act of 1934 (“Exchange Act”), 15 U.S.C. § 78m(d), 1 seeking various equitable relief as the result of defendant Agency Rent A Car, Inc.’s (“Agency”) alleged failure to comply with that statutory provision. Gateway alleges that sometime in early January, 1980, Agency became the owner of more than five percent of all outstanding shares of Gateway stock.
