OPINION AND ORDER

LECHNER, District Judge.

Introduction

This matter involves three separate motions (two of which include cross-motions) for partial summary judgment in a substantial contract dispute arising in the two years after the closing of an acquisition transaction. 1 Because of the size and com plexity of this case, the parties have agreed to present, to the extent possible, various discrete issues for disposition by way of summary judgments and limited evidentia-ry hearings. The disposition of the present motions will not end this lawsuit.
